Shareholder Portal and Shares Held Through Nominees
UKAP Holdings wishes to clarify the arrangements concerning access to the UKAP Holdings shareholder portal, particularly for persons whose shares are held through a nominee or custodian.
Access to the shareholder portal
Where shares are registered in the name of a nominee, such as Vidacos, the nominee is the registered shareholder.
Accordingly, the right of access to the shareholder portal rests with the registered shareholder—the nominee—and not with the underlying beneficial owner.
Withdrawal from CREST
UKAP Holdings withdrew its shares from CREST with effect from 16 September 2025. The ISINs affected by the withdrawal were:

Following the withdrawal from CREST, all UKAP Holdings shares are now held in certificated form and are no longer admitted to CREST.
UKAP Holdings has contacted Vidacos regarding arrangements for the delivery of the relevant share certificate. To date, however, UKAP Holdings has received no response.
Transfer into a beneficial owner’s name
Persons whose shares continue to be held through a nominee or custodian may ask the relevant institution to arrange for those shares to be transferred from the registered holder into their own name.
Any such transfer will be subject to:
the procedures and requirements of the relevant nominee or custodian;
delivery of the required transfer documentation;
the articles of association of UKAP Holdings;
applicable law; and
registration of the transfer in the company’s register of members.
Upon registration of the transfer in the company’s register of members, the beneficial owner will become the registered shareholder and may exercise the rights attaching to the shares directly, subject to the articles of association and applicable law.
Beneficial owners wishing to arrange such a transfer should contact their nominee, bank, broker or custodian directly. UKAP Holdings cannot initiate a transfer on behalf of a beneficial owner or instruct the nominee or custodian to carry it out.
Following registration of the shares in the individual’s own name, the new registered shareholder may apply for access to the shareholder portal in accordance with UKAP Holdings’ applicable registration and identity-verification procedures.
For questions concerning shares held through a nominee or custodian, beneficial owners should contact the institution through which their interest is administered in the first instance.
